Правовий режим токенізованих фінансових інструментів у Європейському Союзі та напрями адаптації законодавства України

| dc.description | The article examines the relationship between regulatory and private-law foundations governing tokenised financial instruments in the European Union and identifies directions for adapting Ukrainian legislation. The relevance of the topic arises from the fact that the technological form of a financial instrument does not remove the need to determine, simultaneously, its regulatory classification, the legal effect of a distributed-ledger entry, the rules applicable to market infrastructure and the remedies available to investors. The study aims to delimit the scopes of MiCA, MiFID II and Regulation (EU) 2022/858, to establish the private-law consequences of recording a financial instrument on DLT and to formulate proposals for the Ukrainian legislature. The methodology combines doctrinal, systemic, comparative-law and functional methods. It is demonstrated that MiCA is not the principal legal act governing tokenised securities: under Article 2(4)(a), crypto-assets qualifying as financial instruments are excluded from its scope. Their regime is primarily determined by MiFID II and the DLT Pilot Regime, supplemented, depending on the transaction, by rules on prospectuses, market abuse, trading and settlement infrastructure. Regulation (EU) 2022/858 is shown to assign DLT market-infrastructure operators not merely technical functions, but legally defined duties concerning operating rules, safekeeping, asset segregation, liability and transition strategies. At the same time, it does not harmonise when proprietary rights in a DLT financial instrument arise, transfer, become encumbered or terminate. A comparison of the French and German models confirms that different legislative techniques are possible: functional equivalence between a DLT record and a conventional book entry, or an explicit rule making registration a condition for dispositions and transfer of title. The article’s original contribution is a four-layer model of the legal regime comprising qualification, infrastructure, private-law and protective layers. It argues that regulating only the virtual-asset market would be insufficient for Ukraine. Coordinated amendments are required to the legislation on capital markets, the depository system and private-law transactions. Such amendments should determine the effects of a DLT entry and govern good-faith acquisition, pledges, succession, enforcement, loss of access keys, correction of erroneous records and the operator’s insolvency. The proposed approach preserves technological neutrality while providing legal certainty throughout the lifecycle of a tokenised financial instrument and a workable allocation of risks among issuers, operators, intermediaries and investors. | |
| dc.description.abstract | У статті досліджено співвідношення регуляторних і приватноправових засад обігу токенізованих фінансових інструментів у Європейському Союзі та визначено напрями адаптації законодавства України. Актуальність теми зумовлена тим, що технологічна форма фінансового інструменту не усуває потреби одночасно встановити його регуляторну кваліфікацію, правове значення запису в розподіленому реєстрі, правила діяльності ринкової інфраструктури та способи захисту інвестора. Метою дослідження є розмежування сфер застосування MiCA, MiFID II і Регламенту (ЄС) 2022/858, з’ясування приватноправових наслідків запису про фінансовий інструмент у DLT та формулювання пропозицій для українського законодавця. Методологічну основу становлять формально-юридичні, системні, порівняльно-правові та функціональні методи. Обґрунтовано, що MiCA не є основним актом для токенізованих цінних паперів: відповідно до статті 2(4)(a) цього Регламенту криптоактиви, які кваліфікуються як фінансові інструменти, вилучено зі сфери його застосування. Їхній правовий режим насамперед визначають MiFID II, Регламент про пілотний режим DLT, а залежно від операції – правила щодо проспекту, ринкових зловживань, торговельної та розрахункової інфраструктури. Показано, що Регламент (ЄС) 2022/858 наділяє оператора DLT-інфраструктури не лише технічними функціями, а й нормативно визначеними обов’язками щодо правил системи, зберігання, сегрегації активів, відповідальності та плану переходу. Водночас акт не уніфікує момент виникнення, переходу, обтяження й припинення майнових прав на DLT-фінансовий інструмент. Порівняння французької та німецької моделей підтвердило можливість різної законодавчої техніки: функціональної еквівалентності запису в DLT традиційному записі на рахунку або прямого визначення реєстрового запису як умови розпорядження та переходу права. Наукова новизна полягає в запропонованій чотирирівневій моделі правового режиму, що охоплює кваліфікаційний, інфраструктурний, приватноправовий і захисний рівні. Доведено, що для України недостатньо врегулювати лише ринок віртуальних активів: потрібні узгоджені зміни до законодавства про ринки капіталу, депозитарну систему та цивільно-правовий обіг із визначенням наслідків запису в DLT, правил добросовісного набуття, застави, спадкування, примусового виконання, втрати ключів, виправлення помилкових записів і неплатоспроможності оператора. | |
